1) Purpose and Acceptance
These Terms of Service govern access to and use of the website https://app.ago-defi.io/ and its subdomains (the “Site”), which allow users to interact with decentralized protocols deployed on public blockchains (including BNB Chain and Ethereum).
By accessing the Site, you fully accept these Terms. If you do not agree, you must not use the Site.

2) Nature of the Services
The Site is an interface enabling interaction with on-chain functionalities (e.g., token swaps, liquidity provision).
The Site does not execute transactions; all actions are signed by your own wallet and broadcast to the blockchain.
Ago DeFi does not hold, custody, or manage users’ funds.
Certain features (e.g., payment/IBAN services provided via regulated partners) may require the involvement of third-party providers subject to their own terms.

3) User Eligibility and Obligations
Minimum age: 18 years.
You are solely responsible for:
(i) your wallet and private keys,
(ii) the security of your devices,
(iii) the transactions you initiate.
You agree to comply with all applicable laws and regulations (AML/CFT, sanctions, tax rules, and any local regulations).

4) Prohibited Conduct
You may not:
use the Site for unlawful purposes or to evade sanctions;
attempt to interfere with the security or proper functioning of the Site;
use bots, scrapers or automated tools without written authorization;
take any action that imposes an unreasonable load on the infrastructure.

5) Disclaimers and Risks
Market risk: crypto-assets are volatile and can lead to total loss.
Technical risk: smart contract bugs, network congestion, forks, node failures, wallet errors, or vulnerabilities may cause losses.
Regulatory risk: legal frameworks may change and affect access to certain features or third-party services.
No financial advice: the Site does not provide investment advice, nor any offer of securities, nor any promise of returns.

6) Third-Party Providers and External Links
The Site may reference or integrate services operated by third parties (e.g., aggregators, fiat/crypto ramps, IBAN/payment providers, KYC processors, auditors).
Each third party acts under its own responsibility and terms.
Ago DeFi is not liable for the use of such external services.

7) KYC/Compliance
Certain non-decentralized features operated by third-party regulated providers (such as payment/IBAN services) may require identity verification (KYC/AML).
Data requested for such purposes is processed directly by the relevant providers in accordance with their own privacy policies and/or the Project’s Privacy Policy.
For users who participated in an Initial Coin Offering (ICO), identity and provenance-of-funds checks (KYC/AML) may be required by the project and/or its compliance partners in order to:
(i) attribute or distribute tokens,
(ii) update information needed for traceability,
(iii) grant access to non-decentralized features (e.g., IBAN/payment services operated by regulated partners).
These checks are conducted by third-party compliance providers and based on applicable AML/CFT requirements. The data collected is used solely for compliance, fraud-prevention and traceability purposes and retained only for the legally required duration.
Strictly decentralized use of the Site (direct on-chain interactions through your wallet, without custodial/fiat services) does not require KYC.

8) Intellectual Property
All elements of the Site (texts, logos, trademarks, interfaces) are protected.
Any reproduction, modification or distribution without authorization is prohibited.

9) Limitation of Liability
To the fullest extent permitted by law, Ago DeFi, its affiliates, officers, and employees disclaim liability for any indirect, special, incidental or consequential damages (including loss of profits, data, or use) arising from:
(i) your access to or inability to access the Site;
(ii) any third-party content or behavior;
(iii) the use of smart contracts, wallets, bridges, oracles, or blockchain networks;
(iv) security incidents (malware, phishing, compromised keys) arising from your own environment.

10) Indemnification
You agree to indemnify and hold harmless Ago DeFi against any claim, liability or cost (including reasonable legal fees) resulting from your use of the Site in breach of these Terms or any applicable law.

11) Modifications
Ago DeFi may update these Terms at any time.
The latest version will always be available on the Site.
Continued use of the Site constitutes acceptance of the updated Terms.

12) Governing Law and Jurisdiction
Subject to any mandatory provisions under another jurisdiction, these Terms are governed by Swiss law.
Any dispute regarding their validity, interpretation or enforcement shall fall under the exclusive jurisdiction of the competent courts of Neuchâtel, Switzerland.
